Introduction

www.repeedhas.com referred to as a "Platform", is owned by Ashmee Capital, having its registered office at Ashmee Towers 1st Floor, Ganapati Chowk, Indi Road, Vijayapura - 586101, Karnataka, (hereinafter referred to as “Company”, “We”, “Us” or “Our” which expression shall include its affiliates, subsidiaries, successors, and assigns). For the purposes of this Terms of Use, accessing, installing, or using the Platform or Rupeedhas Services, shall hereinafter be collectively referred to as the "Services". This Terms of Use is a legal, binding contract between every user (whether an individual, firm, association of persons, company, or legal entity) (“You”, “Your”, or “User”) and Ashmee Capital (“We”, “Us”, “Our”, or “Rupeedhas”). Please read these terms and conditions carefully. The following Terms of Use govern Your use and access of the Platform and/or Services. By using, installing, or accessing the Platform in any way, including registering on the Platform, using, sharing, browsing, and/or downloading any Services, You agree to be bound by the Terms of Use set forth herein. If You do not agree to these Terms of Use, You are not authorized to access, install, and/or use this Platform or the Services.
Access to and use of password-protected and/or secure areas of the Platform and/or Services is restricted to User(s) with accounts only. You are prohibited from obtaining or attempting to obtain unauthorized access to such parts of this Platform and/or Services, or to any other protected information, through any means not intentionally made available by Us for Your specific use. Any breach of this provision may constitute an offense under the applicable laws, including but not limited to the Information Technology Act, of 2000. We reserve the right to update these Terms of Use from time to time without any prior notice to the User. It is essential that You carefully read these entire Terms of Use before using Our Platform or Our Services, as Your use thereof (with or without subscription fees/payment) will indicate Your acceptance of Our Terms of Use.

Eligibility

To avail of the Services provided on the Platform, You must possess legal competence as defined by the Indian Contract Act, 1872, to enter into binding, legal contracts such as this Terms of Use. If You are purchasing these Services on behalf of an entity, You confirm that the entity has duly authorized You to act on its behalf, and both the entity and its respective users shall be bound by these Terms of Use. If You are a minor seeking to use Our Services, such usage must be facilitated by Your legal guardian or parent, who has agreed to these Terms of Use. Should a minor utilize the Platform/Services, it is presumed that he/she has obtained consent from their legal guardian or parent(s), and such usage is conducted under the supervision of the legal guardian or parent(s). Rupeedhas assumes no responsibility for any consequences arising from the usage of Our Platform or any Services by a minor. By utilizing the Services, You affirm that all data provided by You is accurate and complete, and in the case of a minor, You have obtained consent from Your parent(s)/legal guardian.
You agree to use the Platform under these Terms of Use and applicable laws, ensuring that Your usage does not infringe upon the legal rights of Rupeedhas or any third party. It is understood that Rupeedhas is not obligated to verify whether You meet the aforementioned eligibility criteria. It remains solely Your responsibility to ensure compliance with the required qualifications. All Users are required to obtain consent from their relatives or affiliates before providing any Personal Data about them on the Platform.

General Use of Services; User Restrictions

You agree to adhere to all guidelines, notices, operating rules, policies, and instructions governing the use of the Services and/or access to the Platform, as well as any amendments issued by Us, from time to time. We reserve the right to revise these guidelines, notices, operating rules, policies, and instructions at any time, and You are considered to be aware of and bound by any changes upon their publication on the Platform.
Furthermore, You agree and undertake NOT to:
a. Impersonate any person or entity or falsely state or otherwise misrepresent Your affiliation with any person or entity.
b. Use the Platform or Services for illegal or immoral purposes.
c. Attempt to gain unauthorized access to or interfere or disrupt other computer systems or networks connected to the Platform or Services.
d. Post, promote, or transmit through the Platform or Services any Prohibited Materials.
e. Interfere with another User’s utilization and enjoyment of the Platform or Services.
f. Use or upload any software or material containing, or suspected to contain, viruses, damaging components, malicious code, or harmful components that may impair or corrupt the Platform’s data or damage or interfere with another User’s Platform or Services.
g. Use the Platform or Services in a manner inconsistent with acceptable use policies of connected computer networks, applicable Internet standards, and any other applicable laws.
We may, without prior notice or reason, upgrade, modify, suspend, or discontinue the provision of or remove, in whole or in part, the Platform or any Services. We shall not be liable if any such action prevents You from accessing the Platform or any part of the Services. Additionally, We reserve the right but are not obligated to investigate any violation of the terms and conditions herein and take appropriate action.

Change in Scope or Fees

We reserve the right to modify the scope of Services offered or the associated fees. You may be required to pay for the use or access to such Services at any time, at our sole discretion. By continuing to use or access the Services/Platform, you agree to the revised scope of such Services and/or the updated fee payable for their usage. Ashmee Capital shall not be held liable for any loss or damages incurred by you or any of your affiliates as a result of such changes to the Services or fees. All modifications to the Services, fees, or Platform will be prominently displayed on the Platform for your review.

Restricted License

Subject to the terms and conditions outlined in this Terms of Use agreement, we grant the User a personal, limited, non-commercial, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and utilize the Services provided on the Platform. The Services may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without the express written consent of Ashmee Capital. Any unauthorized commercial use of our Services or Platform will result in immediate termination of your relationship with Rupeedhas and may incur subsequent monetary penalties as determined by us. Termination and penalization for such breach will not affect our right to pursue any other legal remedies available for such breach.

The Services may contain links to websites and services provided by third parties ("Third-Party Links"). Your interaction with these Third-Party Links is subject to the terms, including privacy policies, established by such third parties. Ashmee Capital bears no responsibility for any materials, information, goods, or services available through or advertised on such Third-Party Links, nor for the privacy or other practices of these third parties. The inclusion of any Third-Party Links does not imply endorsement by Ashmee Capital of those sites or any association with their operators. Ashmee Capital disclaims any/all responsibility for any disclosure of information or any other practices of third parties. Ashmee Capital expressly disclaims any warranty regarding the collection, processing, sharing, or retention of your personal or other information by any third party.

Disclaimer of Warranties and Liabilities

You expressly acknowledge and agree that, to the fullest extent permitted by applicable law, the Platform and Services provided by Us are provided on an "as is" basis without warranty of any kind, whether express, implied, statutory, or otherwise, including but not limited to the implied warranties of title, non-infringement, satisfactory quality, or fitness for a particular purpose. We shall not be liable for any third-party products or services. Additionally, you acknowledge that our Platform and its related functions may contain bugs, errors, and/or other defects for which we disclaim any liability. Your access to our Platform and other related links is at your sole risk. Ashmee Capital makes no warranty that the service provided will be timely, reliable, error-free, meet user requirements, ensure error correction, or be compatible with all operating systems, devices, and networks.
You are responsible for maintaining the confidentiality of your username and password, and Ashmee Capital shall not be liable for any unauthorized access to or disclosure of information transmitted or received through the Services or the Platform. Transmissions over the Internet and electronic mail may be subject to interruption, transmission blackout, and delayed transmission due to Internet traffic or incorrect data transmission. You further acknowledge that you are solely responsible for any damage to your computer system or data resulting from the download of any materials provided in the Services. Ashmee Capital endeavours to minimize errors, omissions, discrepancies, bugs, and inaccuracies in the data processed on the Platform, including reports and corporate action details provided to you. However, the accuracy of such data is contingent upon the accuracy of data imported or manually entered into the Platform, as well as the accuracy of current/historical pricing and corporate action data provided by third-party data providers.
While Ashmee Capital strives to ensure that the computation of capital gains on the Platform complies with Indian Income Tax rules, it is advised that you verify the accuracy of your capital gain reports before filing Income Tax Returns. In the event of any mistakes, errors, omissions, discrepancies, bugs, or inaccuracies noticed in the Platform reports or data, users may bring them to our attention for correction. Ashmee Capital will make reasonable efforts to rectify such inaccuracies, subject to obtaining accurate data from third-party vendors or technical limitations. However, Ashmee Capital shall not be liable for any loss, damage, or inconvenience resulting from such mistakes or inaccuracies. Users are advised to verify the accuracy of their data entered or reported by the Platform.

Limitation of Liability

In no event shall Ashmee Capital be liable for any special, incidental, indirect, or consequential loss arising from the use of the Services, including but not limited to direct or indirect loss of income, profit, data, or opportunity, as well as any liability related to recovery or damage. Ashmee Capital advises its Users to verify all information available on the Platform before relying on it. We shall not be liable for any misinformation, inaccurate data, data theft, system damage, or any other loss resulting from the use of the Platform, Services, or Third-Party Links. Your use of the Platform and Services is at your own risk. While we endeavour to ensure the safety and functionality of our website, we cannot guarantee that errors will not occur despite our reasonable efforts.
Without prejudice to any other provisions herein, the liability of Ashmee Capital, if any, arising from this Terms of Use, its termination, use, or access to the Services/Platform, and/or any damages, claims, or losses relating thereto, shall be limited to the total amount paid by You to Ashmee Capital for the Services during that calendar year.

User Acknowledgement

You assume full responsibility for the content generated, transmitted, displayed, utilized, stored, and/or redistributed by You or Your authorized users while utilizing Our Services. You and/or Your authorized users are solely accountable and liable for any data created, uploaded, or imported by You onto the Platform. Ashmee Capital bears no responsibility or liability whatsoever, including but not limited to any deletion, correction, damage, or loss of the data. You also acknowledge that We bear no obligation regarding any User content. Upon receiving notice that any content generated by a User during Service utilization violates any law or infringes any third-party rights, We reserve the right to suspend the User’s access to the Services immediately and without prior notice.
You recognize that You hold responsibility for the accuracy, legality, quality, integrity, and ownership of intellectual property rights concerning Your content. You must ensure that Your content complies with these Terms of Use, in addition to Ashmee Capital's Privacy Policy and other pertinent policies, laws, and regulations. You acknowledge that We may access, utilize, retain, or disclose Your account information and user content according to a court order or directives from law enforcement agencies. You agree that such disclosure is reasonably necessary to (i) comply with legal processes or requests; (ii) enforce these Terms of Use; (iii) address security or technical issues; (iv) detect or prevent fraud; and (v) safeguard the rights, property, or safety of Ashmee Capital, its Users, or the public, as permitted by law.

Registration and Payment

The user shall create an account with Rupeedhas to access the Services offered on the Platform and to make purchases ("User Account"). It is your responsibility to maintain accurate and current account and registration details for communication regarding your purchases from the Platform.
You must immediately inform us if you suspect or become aware of any unauthorized use of your username and/or password or any compromise to their confidentiality, or if your personal data needs updating.
By creating a User Account, you agree to safeguard the confidentiality of your username and password and bear sole responsibility for any activity carried out through your User Account. You assume all risks and liabilities for activities conducted under your User Account and consent to receive messages/emails ("Promotional Communications") from Rupeedhas concerning the Platform, your Services, and preferences.
By providing your phone number, you consent to Ashmee Capital contacting you to provide information or support related to the Platform or your Services.
Ashmee Capital reserves the right, at its sole discretion, to deny access to the Platform, terminate any User Account, or remove/restrict content without notice if we discover any illegal or unethical activity associated with your User Account or if we suspect that the information provided by you is incomplete, inaccurate, or outdated.
We determine the fixed fees for utilizing the Services for a specific period ("Subscription Fees"). These subscription plans, which may vary in pricing, features, functionalities, tenure, and included reports, are available on the Platform. You are responsible for any applicable taxes resulting from your use of the Platform. All Subscription Fees are non-refundable.
Should the User neglect to remit the Subscription Fees for the purchased Services or if the payment is annulled for any cause whatsoever, we reserve the right, without prejudice to any other recourse available to Us, to annul the purchase or halt the provision of the Services until full payment is received.

Intellectual Property Rights

All content, including but not limited to Ashmee Capital’s proprietary information, trade names, logos, images, and Services, are the intellectual property ("Intellectual Property") of Ashmee Capital and its affiliates, agents, directors, and employees. No part of this Intellectual Property may be reproduced, copied, republished, posted, distributed, or transmitted in any manner without the prior written consent of Ashmee Capital.
We uphold the intellectual property rights of others, and You agree to respect and protect Our Intellectual Property rights during and after the term of this Terms of Use. You may not reproduce, reverse engineer, decompile, disassemble, alter, distribute, republish, display, broadcast, hyperlink, mirror, frame, transfer, or transmit any part of the Platform or any Services without Our prior written permission. Permission will be granted only for Your personal and non-commercial use of the Services, provided that You do not modify the content and that We retain all proprietary rights contained therein.
If we receive notice of alleged intellectual property rights complaints that do not comply with applicable laws, we will make efforts to promptly remove or disable access to the infringing material. Additionally, we reserve the right to terminate the User Accounts of infringers.

Third Party and/or Open-Source Software

Ashmee Capital acknowledges that it may utilize Third Party and/or Open-Source Software within the scope of this Terms of Use. Ashmee Capital does not assert any claims on the Intellectual Property of such Third Party and/or Open-Source Software.

Termination

These Terms of Use shall remain effective until terminated by Us. We reserve the right to immediately terminate, limit, or suspend Your account, delete Your registration and other information, and/or prohibit You from accessing or using the Platform without prior notice if You violate any provisions of this Terms of Use. Additionally, failure to pay Subscription Fees may result in termination of Your access to the Platform.
Should You decide to terminate Your User Account, You can do so by following the instructions provided on the Platform. Upon termination, You forfeit the right to access or utilize the Platform. However, the termination of Your User Account does not relieve You of any obligations to pay for Services already purchased from the Platform, nor does it affect any liabilities You may have towards Ashmee Capital that arose before the termination date.

Cancellations

All sales conducted on the Platform are considered final, and once You have successfully paid the Subscription Fees, You are not entitled to cancel Your purchase. We retain the sole discretion to cancel any order under the following circumstances: (i) if We are unable to fulfill the order satisfactorily, or (ii) if the User attempts to exploit the system in violation of the Terms of Use. In the event of order cancellation or applicable refund, We commit to communicating this decision within a reasonable timeframe.
Indemnity
You agree to indemnify, defend, and hold harmless Ashmee Capital, its affiliates, agents, directors, and employees from any/all losses, liabilities, claims, damages, demands, costs, and expenses (including legal fees and disbursements, plus interest) incurred due to any breach, unauthorized commercial use of the Services, or failure to fulfill any representation, warranty, covenant, or agreement made by You under these Terms of Use. Additionally, You agree to indemnify Us against any claims brought by third parties arising from Your use of the Platform, violation of the Terms of Use, or infringement of any rights, including intellectual property rights. In no event shall Ashmee Capital, its officers, directors, employees, agents, or suppliers be liable to You or any third party for any special, incidental, indirect, consequential, or punitive damages, including those resulting from loss of use, data, or profits, regardless of foreseeability or whether We have been advised of the possibility of such damages. This limitation applies regardless of the theory of liability, including breach of contract, negligence, or other tortious actions, arising from Your use of or access to the Platform and its Services.
These limitations and exclusions apply to the fullest extent permitted by applicable law.

Reviews

If you provide any reviews for our Services, or the Platform, you hereby consent to the display and reference of your reviews in Rueedhas advertisements and public relations activities. Additionally, you agree to the use and display of your reviews on various social media platforms of Rupeedhas (and/or its affiliates), including but not limited to Facebook, Twitter, LinkedIn, and Instagram, as well as the Website, without any compensation to you, for an indefinite period. Ashmee Capital retains the perpetual right to utilize, reuse, repost, or repurpose the reviews as needed. Feedback

If you provide input or suggestions regarding issues with or proposed modifications or improvements to the Service (“Feedback”), you grant us an unrestricted, perpetual, irrevocable, non-exclusive, fully paid, royalty-free right to use the Feedback in any manner and for any purpose, including improving the Service and developing other products and services.

Grievances Redressal

By using the Platform and any associated materials or Services, you agree to do so at your own risk. We shall not be liable to you for any content that you find offensive, indecent, or objectionable.
